Overview

Rakuten Securities, Inc. is a Tokyo-based online brokerage founded on March 24, 1999 as DLJdirect SFG Securities, a venture originally backed by Sumitomo Mitsui Banking-affiliated interests. Rakuten Group acquired a 96.67% stake in the company in November 2003, and it was rebranded Rakuten Securities in July 2004.

The firm operates as a Type I and Type II financial instruments business operator registered with Japan's Kanto Financial Bureau, offering online trading in domestic equities, foreign securities, derivatives, foreign exchange margin trading (FX), and investment trusts, alongside investment advisory and asset management services integrated with other Rakuten Group financial products such as Rakuten Bank and Rakuten Card.

Rakuten Securities is not itself listed on any stock exchange and has no history of an independent IPO. It is held through Rakuten Securities Holdings Co., Ltd., which in turn is majority-owned by Rakuten Group. In November 2022, Mizuho Securities Co., Ltd. — a subsidiary of the separately publicly traded Mizuho Financial Group — acquired a direct 19.99% equity stake in Rakuten Securities as part of a capital and business alliance; Mizuho subsequently increased its holding to 49.0% by November 2023, with Rakuten Securities Holdings retaining the remaining 51.0%. This gives Rakuten Securities a cap table with a genuine outside minority shareholder distinct from Rakuten Group's own public equity.
